1. Acceptance of Terms
By accessing or using nopicmedia.com (the “Site”), contacting Nopic Media (“Nopic”, “we”, “us”, or “our”) through this Site, or engaging Nopic for creative services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site or our services.
2. Age & Authorized Use
The Site is intended for users who are at least 18 years old or who are using the Site with permission from a parent or guardian, or as an authorized representative of a business.
3. Services
Nopic is a creative studio that provides AI-generated visual content and related creative services, including but not limited to product imagery, advertising creatives, fashion and editorial visuals, AI model shoots, brand campaign concepts, website visuals, social content assets, and video concepts. The specific services provided for any client engagement are defined in a separate written proposal, invoice, statement of work, or project agreement (each, a “Project Agreement”).
4. AI-Generated Content
Nopic's work may be created partly or entirely using artificial intelligence tools. AI-generated outputs may include synthetic people, products, locations, environments, and scenes that do not exist in the real world. You should review all outputs before any public or commercial use.
Nopic does not guarantee that AI-generated outputs will be:
- Unique or one-of-a-kind
- Eligible for copyright protection
- Free from similarity to existing people, brands, products, images, styles, or works
- Free from errors, artifacts, inaccuracies, or distortions
- Free from legal risk in every context in which they may be used
All visuals shown on this Site are AI-generated concept works produced by Nopic unless otherwise stated. Brand names, category references, product-style examples, or portfolio concepts appearing on the Site are for demonstration purposes only and do not imply endorsement, sponsorship, affiliation, or a commercial relationship with any featured brand unless explicitly stated. Past portfolio examples are not a guarantee of identical future results.
5. Client Responsibility for Use
You are responsible for how final assets are used after delivery. Before publishing, advertising, or distributing any deliverable, you are responsible for reviewing and approving it, including checking accuracy, legality, product details, pricing, claims, labels, and compliance with your own brand and industry requirements.
Depending on how and where the content is used, laws, platform policies, advertising rules, or industry standards may require AI-generated content to be labeled or disclosed. You are responsible for determining and making any required disclosures before publishing or distributing final assets.
You agree not to use Nopic's work in any way that is false, misleading, deceptive, defamatory, unlawful, or harmful.
6. Marketing & Advertising Compliance
Nopic does not verify the truth or substantiation of product claims, performance claims, health claims, financial claims, environmental claims, or any other advertising claims associated with the visuals we produce. You are responsible for substantiating any claims made in or alongside the visuals you publish.
You agree not to use Nopic outputs to create or support:
- Fake testimonials, fake reviews, or fake social proof
- False or implied endorsements
- Fabricated before/after results
- Misleading consumer impressions of any kind
- Any suggestion that a real person, celebrity, influencer, brand, or company endorsed, sponsored, or approved a product unless they actually did
7. Synthetic People & Models
AI-generated people and models appearing in Nopic's work are synthetic unless specifically stated otherwise. You must not present synthetic people as real customers, employees, medical professionals, experts, influencers, or endorsers unless that use is clearly disclosed and legally permitted.
If you request assets based on real people or supply references depicting real people, you are responsible for obtaining any necessary model releases, publicity rights, consents, or permissions.
8. Client-Provided Materials
If you provide logos, photos, product images, brand assets, trademarks, copy, references, or other materials, you represent and warrant that you own them or have the rights, licenses, and permissions needed to use them and to allow Nopic to use them. You grant Nopic permission to use those materials solely to evaluate and provide the requested services. You are responsible for any claims arising from materials you provide that infringe or violate the rights of others.
9. Intellectual Property & Ownership
9.1 Site Content
All text, design, layout, code, images, logos, and other materials on the Site are owned by Nopic or used with permission. You may not copy, reproduce, modify, distribute, publish, display, or create derivative works from any Site content without our prior written consent.
9.2 Deliverables & License
Final ownership or usage rights for client work may be defined in a separate Project Agreement. Unless otherwise agreed in writing, upon full payment Nopic grants the client a license to use the delivered final assets for the agreed business purpose. Nopic retains all rights to its underlying methods, prompts, workflows, drafts, templates, systems, processes, and concepts that are not selected as final deliverables.
9.3 Copyright of AI Outputs
AI-generated outputs may not receive the same copyright protection as fully human-created works. Nopic does not guarantee copyright registration, exclusive ownership, or enforceability of rights in AI-generated deliverables. If exclusive intellectual-property rights are important to your business, you should consult legal counsel before relying on AI-generated assets.
9.4 Third-Party Trademarks
Any third-party trademarks, service marks, or trade names that appear on the Site are the property of their respective owners and are referenced for identification or demonstration purposes only.
10. Portfolio Use
Unless a separate written agreement provides otherwise, Nopic may display completed work, concepts, mockups, and project results in its portfolio, on its website and social media, and in case studies or promotional materials. If you require confidentiality or white-label work, that must be agreed in writing before the project begins.
11. Projects, Revisions & Payment
Specific deliverables, timelines, revision rounds, fees, payment terms, refunds, and cancellation terms are defined in the applicable Project Agreement. Work may not begin until any required payment or deposit has been received. Nothing on this Site creates a binding client engagement unless both parties agree in writing.
12. Prohibited Uses
You may not use the Site or any Nopic work for:
- Illegal, deceptive, harmful, defamatory, or fraudulent purposes
- Fake reviews, fake testimonials, fake endorsements, or fake social proof
- Impersonating real people without their permission
- Misleading political, medical, financial, legal, or other regulated content
- Adult sexual content or explicit content
- Hate, harassment, discrimination, or violence
- Infringing third-party intellectual property, trademark, or publicity rights
- Any use that violates platform policies, advertising policies, or applicable laws
13. Use of the Site
You agree to use the Site only for lawful purposes. You will not:
- Attempt to gain unauthorized access to the Site or its systems
- Interfere with or disrupt the Site's normal operation
- Use the Site to transmit unsolicited communications, malware, or spam
- Scrape, crawl, harvest, copy, or use Site content, images, prompts, designs, or portfolio materials for unauthorized commercial use, dataset creation, model training, or AI training without prior written permission
- Reverse-engineer Site systems or bypass any security measures
- Impersonate another person or misrepresent your identity
14. Third-Party Tools & Services
Nopic may use third-party tools and services to operate the Site and provide its services, including AI models, hosting providers, form providers, analytics tools, payment processors, and creative software. Nopic is not responsible for third-party platform outages, changes, policies, or model behavior. The Site may also contain links to third-party sites or services; we do not control and are not responsible for their content, privacy practices, or terms, and linking does not constitute endorsement.
15. Submissions
When you submit information through the contact form, you confirm that the information is accurate and that you have authority to share it. By submitting, you grant us permission to use that information solely to respond to your inquiry, in accordance with our Privacy Policy.
16. Electronic Communications
By contacting Nopic through the Site or by email, you consent to receive electronic communications from us related to your inquiry, potential project, or our services. You agree that these communications satisfy any legal requirement that such communications be in writing.
17. No Professional Advice
Nopic does not provide legal, advertising-compliance, financial, medical, or other professional advice. Content on the Site is provided for general informational and promotional purposes only. You should consult appropriate professionals before making decisions based on any information on the Site or before publishing deliverables in regulated contexts.
18. Disclaimer of Warranties
The Site, our services, and all content are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free from harmful components.
Nopic does not guarantee specific business results from the use of its work, including sales, engagement, conversions, viral performance, ad approval, marketplace approval, or acceptance by any platform.
19. Limitation of Liability
To the maximum extent permitted by law, Nopic will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to the Site, our services, or your use of any deliverables, including lost profits, loss of data, advertising spend, platform rejections or account actions, or losses arising from the publication or distribution of final assets, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim will not exceed the amounts you paid to Nopic for the specific project giving rise to the claim or, if no amounts were paid, one hundred U.S. dollars (USD $100).
20. Indemnification
You agree to indemnify, defend, and hold harmless Nopic and its affiliates, officers, employees, and contractors from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or deliverables, your breach of these Terms, your publication or distribution of final assets, or any content or materials you submit to Nopic.
21. Force Majeure
Nopic will not be responsible for delays, interruptions, or failures caused by events outside our reasonable control, including but not limited to hosting outages, internet failures, third-party platform issues, AI tool outages, power failures, labor disputes, natural disasters, emergencies, or government actions.
22. Modifications
We may revise these Terms at any time. The “Last updated” date above will reflect the most recent version. Your continued use of the Site after changes constitutes acceptance of the updated Terms.
23. Termination
We reserve the right to suspend or terminate access to the Site at any time, with or without notice, for any reason, including violation of these Terms.
24. Governing Law & Disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws provisions. Any dispute arising under or related to these Terms will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.
25. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
26. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Project Agreement, constitute the entire agreement between you and Nopic regarding your use of the Site and our services. If a signed Project Agreement conflicts with these Terms, the Project Agreement controls for that engagement.
